Welcome to HotelGuruz. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and HotelGuruz, operated by SolGuruz (“we”, “us”, or “our”), governing your access to and use of the HotelGuruz platform, website, mobile applications, and all related services (collectively, the “Service”).

By creating an account, clicking “I Agree”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use this Service. By accepting these Terms, you represent and warrant that you meet this requirement and have the full authority to enter into this agreement on behalf of yourself or the organization you represent.

HotelGuruz is a cloud-based property maintenance management platform designed to help hotels, hospitality organizations, and property managers efficiently manage maintenance tasks, incidents, asset tracking, and team collaboration.

The Service is made available to business customers (“Customers”) who subscribe to one of our plans, and to individuals authorized by those Customers (“End Users”) to access the platform on their behalf. HotelGuruz acts as a service provider to Customers and processes End User data under the direction of the Customer.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to inform Customers in advance of material changes to the Service.

To access most features of the Service, you must register for an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information updated.
• Maintain the confidentiality of your login credentials, including your password, and not share them with unauthorized persons.
• Accept full responsibility for all activities that occur under your account, whether or not you authorized them.
• Notify us immediately at hello@solguruz.com if you suspect any unauthorized use of your account or any other security breach.
• Not create more than one account per person, or create an account on behalf of another person without their authorization.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or remain inactive for an extended period.

Access to certain features of the Service requires a paid subscription. The following terms apply to all paid plans:

• Fees: you agree to pay all applicable fees as described on our pricing page or in a separate order form at the time of purchase. All fees are stated in the applicable currency and are exclusive of applicable taxes unless noted otherwise.
• Billing cycles: subscriptions are billed on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
• Payment methods: we accept major credit cards and other payment methods as displayed at checkout. You authorize us to charge your payment method on file for all applicable fees.
• Refund policy: fees are generally non-refundable. If you cancel your subscription, you will retain access until the end of your current billing period. We may provide refunds at our sole discretion in exceptional circumstances.
• Price changes: we reserve the right to change pricing at any time. We will notify you of price changes at least 30 days in advance. Your continued use of the Service after the price change takes effect constitutes your agreement to the new pricing.
• Late payments: overdue amounts may incur a late fee, and we reserve the right to suspend access to the Service for accounts with outstanding balances.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service:

• In any way that violates any applicable local, national, or international law or regulation.
• To transmit or upload any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• To impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• To upload, transmit, or distribute viruses, malware, or any other malicious or harmful code.
• To attempt to gain unauthorized access to any part of the Service, other accounts, or related systems or networks.
• To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• To scrape, crawl, or extract data from the Service by automated means without our prior written consent.
• To interfere with or disrupt the integrity, performance, or availability of the Service or its infrastructure.
• To sublicense, resell, or otherwise commercialize the Service without our express written permission.

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account and may be referred to appropriate law enforcement authorities.

All content, features, and functionality of the Service — including but not limited to software, source code, text, graphics, logos, icons, images, audiovisual content, user interface design, and data compilations — are the exclusive property of HotelGuruz or its licensors and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

You may not copy, modify, adapt, translate, distribute, publicly display, publish, sell, license, sublicense, create derivative works from, or otherwise exploit any part of the Service without our prior written consent. Any unauthorized use terminates the license granted to you under these Terms.

Your content: you retain ownership of any data, content, or materials you submit to the Service (“User Content”). By submitting User Content, you grant us a worldwide, royalty-free license to host, store, process, and display your User Content solely as necessary to provide the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference and describes how we collect, use, disclose, and protect your personal information.

Where applicable, and to the extent that we process personal data on behalf of a Customer, we act as a data processor and the Customer acts as the data controller. Customers are responsible for ensuring they have a lawful basis for sharing data with us and for obtaining any necessary consents from End Users.

We implement appropriate technical and organizational security measures to protect your data. Please refer to our Privacy Policy for full details.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOTELGURUZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of any information provided through the Service.
• Any warranty that defects in the Service will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOTELGURUZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunities, or goodwill.
• Damages arising from unauthorized access to or use of our servers or any personal information stored therein.
• Damages arising from any interruption or cessation of transmission to or from the Service.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO HOTELGURUZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

You agree to indemnify and hold harmless HotelGuruz and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

Either party may terminate access to the Service under the conditions described below:

• By you: you may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.
• By us: we may suspend or terminate your access to the Service immediately, with or without notice, for any breach of these Terms, fraudulent or illegal activity, non-payment, or any other reason we deem appropriate.

Upon termination of your account:

• Your right to access and use the Service will cease immediately.
• We may retain your data for a reasonable period to allow for data export requests, after which we may delete it in accordance with our data retention policy.
• All provisions of these Terms that by their nature should survive termination will continue in full force and effect, including sections on Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop unauthorized use of our intellectual property or any other breach that could cause irreparable harm.

We reserve the right to update or modify these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the “Last Updated” date at the top of this page.
• Notify registered users via email or an in-app notification at least 14 days before material changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription prior to the effective date.
